Job Description

Corporate/Compliance Paralegal and Content Manager -- In-House

Andritz AG is a publicly-traded company traded on the Vienna Stock Exchange and headquartered in Graz, Austria.  An experienced corporate paralegal is needed to support its Legal Department in the company’s North American headquarters in Alpharetta, GA, which includes the Group General Counsel, North American Regional General Counsel and US Compliance Officer.  Responsibilities of the position include the following:

Corporate Governance:


•     Assist Corporate Secretary with preparation and maintenance of company minute books, including minutes, resolutions, and bylaws

General Corporate:


•     Prepare full range of corporate documents and filings, including articles and certificates of incorporation, organization, foreign qualification, dissolution, merger, amalgamation, withdrawal, continuance, and amendments, as well as stock certificates, annual reports, and certifications


•     Manage relationship and periodic filings with registered agent


•     File for and maintain state contractor licenses


•     Prepare transaction closing  binders


•     Conduct lien searches and prepare and maintain UCC filings

  Litigation:


•     Maintain files for certain litigation matters and assist in regular preparation and updating of electronic status reports


•     Organize data/documentation for and prepare Proofs of Claim in bankruptcy cases

Compliance:


•     Review 3rd party vendor web-based training programs to insure compliance with company policies


•     Work with local HR contact and global compliance management team to maintain employee training database


•     Maintain training schedule and coordinate with 3rd party vendor for assignment of training; 


•     Generate periodic reports from 3rd  party vendor on training status and coordinate with management to maximize training success


•     Perform initial review of sales agent agreements for Policy compliance

Content Management:


•     Work with lawyers in North American Legal Department to obtain and maintain content on Department’s internal client-servicing website


•     Work with Group General Counsel to obtain and maintain content on Global Department internal client-servicing website


•     Maintain document archive in AGORA database


•     Input and maintain dispute-related information in matter management system;


•     Assist in the organization and maintenance of electronic knowledge base files within Department

Research:


•     Must understand legal concepts, terminology, principles and procedures;


•     Must be capable of conducting research using WestLaw, Pacer and generally available information sites

Job Requirements

Education and Experience:


• Bachelor’s degree from an accredited college or university or certificate in Paralegal Studies or Paralegal Certificate required


• 5 years’ experience in a corporate legal department of an international business or a law firm preferred


• Must be able to handle responsibilities independently, demonstrate attention to detail, have high level of integrity, handle confidential information, and project professional demeanor and appearance


• Proficiency in full Microsoft Office Suite of products (Word, Excel, PowerPoint, Outlook, Access) as well as familiarity with Microsoft SharePoint


• Ability to learn and use new computer applications quickly


• Exceptional interpersonal and communication skills


• Exceptional organizational skills with strong multi-tasking and time management abilities

• Notary Public certification
